A. General Terms and Conditions

§ 1 Scope of Application

I. These General Terms and Conditions apply to all business relationships between only good vibes GmbH, legally represented by the managing director Patrick Schneider, Timpestraße 8, 45329 Essen, Germany (hereinafter referred to as "Palmsite" or the "Company") and its customers, in the version valid at the time the contract is concluded. They also contain important customer information required by law. Conflicting, deviating or supplementary general terms and conditions of the customer shall not become part of the contract unless the Company has expressly agreed to them in writing.

II. Customers of the Company within the meaning of these General Terms and Conditions are both consumers and entrepreneurs.

Entrepreneurs within the meaning of § 14 BGB are natural or legal persons or partnerships with legal capacity who, when concluding a legal transaction, act in the exercise of their commercial or independent professional activity.

Consumers within the meaning of § 13 BGB are natural persons who conclude a legal transaction for a purpose that cannot be attributed primarily to their commercial or independent professional activity.

III. The Company currently delivers to customers in Germany and the European Union.


§ 2 Offers and Conclusion of Contract

I. All offers made by the Company are subject to change and non-binding. A contract between the Company and the customer is only concluded when the Company accepts an offer from a customer. The Company reserves the right not to accept an order in the event of pricing errors or mistakes on the website.

II. If a customer places an order via the Company's website, the Company will immediately confirm receipt of the order. This confirmation does not constitute acceptance of the offer, but merely informs the customer that the order has been received.

III. By submitting an order via the Company's website, the customer submits an offer to conclude a purchase contract. Acceptance of the offer and conclusion of the contract shall be effected by express declaration of acceptance by e-mail or by dispatch of the ordered goods to the customer.

The Company is entitled to accept the contractual offer within 5 days of receipt by means of an express declaration or by sending the ordered goods.

If the customer completes the order using a payment instruction via Shopify Payments (credit card or other available payment methods), the contract is concluded at the latest when the customer submits the payment instruction.


§ 3 Terms of Payment and Prices

I. Payment for ordered goods shall be made via Shopify Payments. The following payment methods are available depending on the customer's location:

- Credit card (Visa, Mastercard, American Express)
- Additional local payment methods as displayed at checkout

The customer's account will be debited after the payment transaction has been completed.

II. The price stated in the presentation of the goods is to be understood as the total price including any applicable VAT and other price components, but excluding delivery and shipping costs.


§ 4 Shipping Costs and Import Duties

I. In addition to the purchase price, the Company charges shipping costs. The amount of the shipping costs is displayed on the Company's website and clearly communicated on the order page before the order is placed.

II. The Company currently ships to Germany and the European Union. For deliveries within the EU, no additional import duties apply. For any deliveries outside the EU in the future, applicable import duties and customs fees shall be borne by the customer.


§ 5 Default of Payment

If the customer fails to pay following a payment reminder after the due date, the customer shall be in default. During the period of default, the customer shall pay interest on the outstanding amount at a rate of 5% above the applicable prime rate.


§ 6 Delivery

I. Delivery shall be made to the delivery address specified by the customer in the order. If the customer specifies an alternative drop-off location with the shipping service provider, the transportation risk shall be transferred to the customer upon delivery to that location.

II. The Company is entitled to send goods in several packages where reasonable, without incurring additional shipping costs for the customer.


§ 7 Delivery Times

Goods are generally dispatched within two working days, but no later than 4 working days after completion of the payment process.


§ 8 Transfer of Risk

I. If the customer is an entrepreneur, the risk of accidental loss or deterioration of the goods shall pass upon handover to the carrier or forwarding agent.

II. If the customer is a consumer, the risk shall not pass until the goods are physically handed over to the customer.

III. If the buyer is in default of acceptance, this shall be deemed equivalent to handover.


§ 9 Retention of Title

I. Delivered goods shall remain the property of the Company until full payment has been made.

II. With regard to customers who are entrepreneurs, the Company reserves ownership until all claims arising from the business relationship have been settled.

III. The customer is obliged to inform the Company immediately of any seizure or other impairment of the reserved goods by third parties.


§ 10 Right of Withdrawal and Return Costs

I. Consumers are entitled to the statutory right of withdrawal. The Company informs customers on its website about the conditions and details of exercising this right.

II. Consumers must return goods which, by their nature, can normally be sent by post, immediately and in any case within fourteen days from the day on which the consumer informs the Company of their decision to withdraw from the contract.

Return shipping costs are borne by the customer. Palmsite does not provide prepaid return labels. The customer is responsible for choosing an appropriate and trackable shipping method for the return.

III. In accordance with § 312g para. 2 no. 1 BGB, the right of withdrawal does not apply to custom or personalized products, or items that are clearly tailored to the personal needs of the consumer.


§ 11 Non-Returnable Items

Certain items are not eligible for return. This includes custom or personalized products (such as special orders or made-to-measure pieces) as well as any items that have been worn, washed, or are no longer in their original condition with tags attached. § 12 Warranty and Liability

The customer's warranty rights and the Company's liability shall be governed by the applicable statutory provisions.


§ 13 Data Protection

I. The Company undertakes to treat the customer's personal data confidentially. The collection, processing and use of personal data is carried out in accordance with applicable statutory provisions, in particular the GDPR. Personal data shall only be passed on to third parties in the context of contract processing.

II. Customers can request information about their personal data stored by the Company at any time, and may request deletion in accordance with statutory provisions. Further information can be found in our separate Privacy Policy.


§ 14 Final Provisions

I. The legal relationship between the customer and the Company shall be governed by German law, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). Mandatory consumer protection provisions of the customer's country of residence shall remain unaffected.

II. If the customer is a merchant, the exclusive place of jurisdiction for all disputes arising from this contract shall be Essen, Germany.

III. The Company is not obliged to participate in dispute resolution proceedings before a consumer arbitration board and does not offer to participate in such proceedings.

IV. Should individual provisions of these General Terms and Conditions be or become invalid, this shall not affect the validity of the remaining provisions.

V. Contracts may be concluded in German or English.

2. Statutory Right of Withdrawal

Right of Withdrawal

You have the right to withdraw from this contract within fourteen days without giving any reason.

The withdrawal period is fourteen days from the day on which you, or a third party designated by you (other than the carrier), take possession of the goods.

by means of an unequivocal statement (e.g. by e-mail) of your decision to withdraw from this contract.

Consequences of Withdrawal

If you withdraw from this contract, we shall reimburse all payments received from you, including standard delivery costs, without undue delay and no later than 14 days from the day we are informed of your decision to withdraw. We will use the same payment method you used for the original transaction. We may withhold reimbursement until we have received the goods back or until you have provided proof of return, whichever is earlier.

You must return the goods no later than fourteen days from the date of your withdrawal notice to:

Return shipping costs are borne by the customer.

You are only liable for any diminished value of the goods resulting from handling beyond what is necessary to establish their nature, characteristics and functioning.

The essential characteristics of the goods are set out in the respective product descriptions on the website.


4. Conclusion of Contract

Contracts are concluded in accordance with § 2 of these General Terms and Conditions.


5. Payment and Delivery

Payment and delivery terms are set out in §§ 3, 4, 5 and 6 of these General Terms and Conditions.


6. Technical Steps for Conclusion of Contract

You can place an order by adding a product to your shopping cart and proceeding to checkout. After entering your shipping and payment details, you will have the opportunity to review your order before submitting it. By clicking the final "Buy" or "Place Order" button, you submit a binding purchase offer. We accept the offer in accordance with § 2 of these General Terms and Conditions.


7. Storage of Contract Text

The contract text will be saved by us and sent to you by e-mail upon request, together with the General Terms and Conditions valid at the time of conclusion of the contract.


8. Correction of Input Errors

Before submitting a binding order, you can correct your entries at any time using your keyboard and mouse. All entries are displayed in a summary before final submission and can be corrected there. You may also cancel the order process at any time by closing your browser.


9. Contract Language

Contracts may be concluded in German or English.


10. Statutory Liability for Defects

Customers are entitled to the statutory liability for defects. If you have any questions about our products, please contact us at info@palmsite.com.


11. Data Protection

12. Online Dispute Resolution
